Agreement Regarding Confidentiality
The project developer identified in this request (hereafter “Developer”) acknowledges that the Transmission Owner Technical Requirements and Standards to which it seeks access are designated as confidential and proprietary information of the pertinent Transmission Owner. Accordingly, developer hereby agrees that, if its request for access to such information is approved, Developer will use the Transmission Owner Technical Requirements and Standards only for purposes directly related to developer’s development of the proposed facility identified in this request for access. Developer also agrees that it shall not disclose the Transmission Owner Technical Requirements and Standards or any portion thereof to any third party by any means, provided, however, that Developer may disclose such Transmission Owner Technical Requirements and Standards to its directors, employees, advisors, attorneys, lenders, consultants, or affiliates who agree to maintain the confidentiality of such Transmission Owner Technical Requirements and Standards in accordance with this paragraph. Developer further acknowledges that it may be held liable to the affected Transmission Owner and/or to PJM in damages or for equitable relief, or both, for any breach of the confidentiality of the Transmission Owner Technical Requirements and Standards by developer or any of its directors, employees, advisors, attorneys, lenders, consultants, or affiliates. Neither failure nor delay by the affected Transmission Owner or PJM in exercising any of its rights relating to confidentiality of the Transmission Owner Technical Requirements and Standards shall operate as a waiver, nor shall any single or partial exercise preclude any other or further exercise of any such right.

By inserting its name below, developer acknowledges that it has read, understands and agrees to the foregoing paragraph concerning confidentiality of the Transmission Owner Technical Requirements and Standards.
